TERMS & CONDITIONS

Article 1: Purpose - Scope of application

         These general terms and conditions of sale (hereinafter referred to as "Terms and Conditions") apply to all sales of goods (hereinafter referred to as "the Products") concluded between HOT IN COLD (hereinafter referred to as "the Seller") and its customers (hereinafter referred to as "the Customer") notwithstanding any clause to the contrary appearing in the Customer's documents, and in particular its general terms and conditions of purchase.

     The present General Terms and Conditions are systematically communicated to all Customers prior to any order being placed.

​

       Placing an order implies the Customer's full and unreserved acceptance of these General Conditions.

Article 2 : Product information

    The dimensions, colors and weights of certain materials are subject to variations inherent in their nature or manufacture, and are subject to the usual tolerances. The Customer waives the right to take advantage of any slight difference between the order and the Product delivered.

Article 3 : Order

       The quotation drawn up by the Seller is binding on the latter during the option period indicated on the quotation.

Any order, to be valid, must be the subject of a written order signed by the Customer, and of a confirmation from the Vendor. Sales negotiated by the Vendor's agents are final only after written confirmation by the Vendor.

The contract is thus definitively concluded either on the date of confirmation of the Customer's order by the Vendor, or on the Customer's express written acceptance of the quotation.

 

      Sales made on the genesis-containers.com website are considered validated as soon as the Customer has paid for all or part of the order.

      The Vendor reserves the right to refuse any order of an abnormal nature for any reason whatsoever, or because the product ordered is out of stock and cannot be restocked.

Article 4: Order modification

        No order may be cancelled or modified after confirmation by the Vendor, unless expressly accepted by the latter. In this case, the Vendor reserves the right to charge additional costs to the Customer.


Any deposits paid will not be refunded.

Article 5: Deliveries

6.1.Delivery conditions


Delivery is made either by direct delivery of the product to the Customer at the place designated in the order, or by simple notice of availability, or by delivery to a carrier. In the event of collection and transport of the Products by the Customer, the latter must use twist lock securing systems. The Seller disclaims all liability for its products in the event of non-use of this system.

6.2. Delivery times

​

Delivery or availability times are only given on request and for information only. Consequently, a delay in delivery or incomplete delivery does not entitle the Customer to cancel the order or claim any compensation whatsoever.

Article 6: Transport - Transfer of risks

The transfer of risks on the Products takes place as soon as the Products are made available or dispatched from the Vendor's warehouses.

 

As a result, whatever the mode of delivery, and even in the case of transport insured by the Vendor, the goods always travel at the Customer's risk, despite the reservation of title clause applying to the goods sold.

The Seller cannot be held responsible for the choice of carrier.

In the event of delivery to the place designated by the Customer :

 

The Seller declines all responsibility for any damage caused by a transport vehicle on the delivery site if this damage is due to difficult access and/or unsuitable terrain;
 

The Customer is responsible for directing all maneuvers required for access and circulation inside or outside its Facilities;
 

Waiting times are at the Customer's expense and will be invoiced extra.

 

If, on the day scheduled for delivery, the Vendor is unable to make the delivery due to inaccessibility on the part of the Customer, an error on the part of the Customer concerning the time or place of delivery, or any other foreseeable or unforeseeable event (impassable access, bad weather, roadblock, etc.), the Customer will be invoiced for the cost of returning and re-delivering the goods. The same shall apply in the event of an error on the part of the customer concerning the Product ordered and delivered.
 

Article 7: Handling

The mention of "handling" on the Seller's quotations or invoices corresponds to a price given or invoiced for a single transport, a single handling by a single vehicle equipped with handling equipment, with unloading planned at the rear or side of the vehicle.

 

Even if an access plan is supplied to the Vendor with the order, each additional service necessary for the correct execution of the operation, such as the preparation of an access, wedging, specific lifting or other, will be invoiced in addition to the Customer, at the hourly rate in force on the day of delivery.

Article 8: Receipt - Complaints

Upon delivery of the Products under the conditions specified in article 6.1, it is the responsibility of the Customer (or his representative) to check their condition before unloading.

In the event of shortage or damage, the Customer must immediately make all necessary reservations with the carrier under the conditions specified in article L.133-3 of the French Commercial Code (reservations on a receipt, confirmed by registered letter within three days, not including public holidays). The Customer must also inform the Vendor within the same period.

​

Furthermore, in the event of non-conforming delivery or delivery subject to dispute, any complaint must be addressed to the Vendor in writing by registered letter with acknowledgement of receipt within 48 hours of receipt of the Products.

​

Except in the case of minor defects, any non-conformity of the Products delivered will result in the replacement of the Products free of charge, to the benefit of the Customer, to the exclusion of any compensation or damages.
